Ambuja Cements Limited, part of the Adani Group, has announced that its board of directors has approved the proposed merger of ACC Limited and Orient Cement Limited into Ambuja Cements, aiming to integrate the group’s cement operations under a single corporate entity. The amalgamation plans are subject to necessary regulatory, statutory and shareholder approvals and are expected to be completed over the next year. 
According to the company, combining the businesses will help streamline manufacturing and logistics networks, simplify the corporate hierarchy and enable more efficient allocation of capital, which is anticipated to improve margins by at least ₹100 per tonne over time. 
In a statement, Karan Adani, Non-Executive Director of Ambuja Cements, said, “By bringing Ambuja Cements, ACC, and Orient Cement under a single corporate structure, we are strengthening our ability to drive operational excellence, accelerate growth, and deliver sustainable long-term value.” He added, “This merger builds on our already proven track record to further position the business to drive efficiency and productivity. A robust and resilient balance sheet positions the unified strong entity to effectively support future growth initiatives.” 
Under the approved share swap arrangement, eligible ACC shareholders will receive 328 equity shares of Ambuja Cements (face value ₹2 each) for every 100 equity shares of ACC (face value ₹10 each). Orient Cement shareholders will be allotted 33 equity shares of Ambuja Cements (face value ₹2 each) for every 100 equity shares of Orient Cement (face value Re 1 each). 
The consolidation aligns with Ambuja Cements’ plans to expand cement capacity from 107 million tonnes per annum to 155 million tonnes per annum by fiscal 2028. The Ambuja and ACC brands will continue to operate in their respective markets even after the merger process is completed.
