JSW Infrastructure Ltd. has announced a major acquisition move: via its subsidiary JSW Port Logistics Pvt Ltd, it will purchase full ownership of three rail-logistics companies — JSW Rail Infra Logistics, JSW Minerals Rail Logistics and JSW (South) Rail Logistics — from fellow group entity JSW Shipping & Logistics Pvt Ltd, for an enterprise value of ₹1,212 crore.
Once the deal is completed and regulatory approvals secured, the acquired firms will become step-down subsidiaries of JSW Infrastructure. The acquisition instantly provides the company access to a fleet of 21 rakes currently operating under the Indian Railways’ General Purpose Wagon Investment Scheme (GPWIS) and the Liberalised Special Freight Train Operator (LSFTO) scheme — with four more rakes already under delivery.
The acquisition bolsters JSW Infrastructure’s ambition to build an end-to-end multimodal logistics platform, integrating its existing port, terminal, and cargo services with robust rail logistics capabilities.
The acquired entities already hold long-term transport contracts — including with major customers like JSW Steel and Bhushan Power & Steel Ltd.. The company projects that the combined rail-transport business could deliver an annualised EBITDA of around ₹150 crore by FY27.
As part of its roadmap, JSW Infrastructure plans to scale up its rake fleet from current numbers to 45 rakes by FY27 and further to 110 rakes by FY30, capitalizing on growing freight volumes and increased demand for integrated logistics services.
