H.G. Infra Engineering Limited has announced an investment of ₹48.52 crore in its wholly owned subsidiary H.G. Banaskantha BESS Private Limited, marking a strategic expansion into the battery energy storage systems (BESS) sector.

The investment was carried out through a rights issue, wherein the company subscribed to 6,40,200 equity shares at an issue price of ₹758 per share, including a face value of ₹10. The transaction was completed on March 23, 2026, entirely through cash consideration.

The subsidiary, incorporated on December 3, 2024, operates in the battery energy storage segment, representing a new business vertical for HG Infra. As of March 31, 2025, the entity had no turnover, indicating that this is a greenfield investment aimed at building future capabilities in energy storage.

This move aligns with the company’s broader strategy to diversify beyond core infrastructure EPC operations and enter the fast-growing renewable energy and storage ecosystem. The investment also reflects increasing industry focus on grid stability, renewable integration, and energy transition technologies.

The transaction qualifies as a related-party deal, given the subsidiary’s wholly owned status. However, apart from the company’s shareholding, no additional interest is held by promoters or group entities, ensuring transparency in the structure.

No regulatory approvals were required, and the investment was completed in compliance with applicable disclosure norms, indicating swift execution and strategic intent to capture opportunities in the emerging BESS market.
This development highlights HG Infra’s shift toward future-ready infrastructure solutions, with energy storage expected to play a critical role in supporting India’s renewable energy ambitions.
